Terms of Use
Last updated September 29, 2026
These Terms of Use are a binding agreement between you and Euuler Technologies LLC governing your access to and use of Euuler.
Please read these Terms carefully. They contain important disclaimers, limitations of liability, and provisions governing disputes.
1. Acceptance of these Terms
These Terms of Use (“Terms”) govern the websites, mobile applications, software, communications, and related products and services operated by Euuler Technologies LLC (“Euuler,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, clicking to accept these Terms, or creating an account, you agree to be bound by these Terms and acknowledge our Privacy Policy and Cookie Policy. If you do not agree, you must not access or use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. You may not use the Services if you are prohibited from doing so under applicable law, including applicable sanctions and export-control laws. By using the Services, you represent and warrant that you satisfy these requirements.
3. Private access and accounts
Euuler is a private professional-networking platform. Access may require an invitation, affiliation with a participating community, or approval by Euuler. An invitation is personal, non-transferable, and does not guarantee continuing access.
You must provide complete and accurate information, keep it current, maintain the confidentiality of your credentials, and promptly notify us at contact@euuler.com of suspected unauthorized use. You are responsible for activity under your account unless prohibited by law. We may require identity, affiliation, eligibility, or accreditation verification.
4. Participating communities
Professional clubs, alumni groups, founder communities, employers, and other organizations may facilitate access to Euuler. Those organizations are independent from Euuler unless expressly stated otherwise. Their own rules and privacy practices may apply to their relationship with you. Community affiliation may be used to verify access and facilitate relevant connections, but no community owns your Euuler account or may direct us to disclose your private communications except as permitted by law or with your authorization.
5. License to use the Services
Subject to these Terms, Euuler grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for lawful professional networking purposes. No rights are granted except as expressly stated in these Terms.
6. Acceptable use
You must not, directly or indirectly:
- violate law, regulation, contractual duties, or third-party rights;
- misrepresent your identity, affiliation, qualifications, or intentions;
- harass, discriminate against, threaten, defraud, or harm another person;
- send spam, unauthorized promotions, or deceptive communications;
- scrape, harvest, index, copy, sell, or disclose member data or contacts;
- circumvent privacy controls, access restrictions, or security measures;
- upload malware or interfere with the integrity or availability of the Services;
- reverse engineer, decompile, frame, mirror, or create derivative works of the Services, except where law expressly permits;
- use automated systems, bots, or artificial intelligence to access the Services without our written permission; or
- use information obtained through Euuler to make unlawful eligibility, employment, credit, housing, insurance, or other high-impact decisions.
7. Member content
“Member Content” means information or material you submit, post, transmit, or otherwise make available through the Services. You retain ownership of your Member Content. You grant Euuler a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise process Member Content solely to operate, secure, provide, support, and improve the Services and as otherwise directed by you.
You represent and warrant that you have all rights and permissions necessary to provide Member Content and that it does not violate these Terms or any law or third-party right. We may remove or restrict content that we reasonably believe violates these Terms or creates legal, security, or reputational risk.
8. Introductions and member interactions
Euuler may suggest people, communities, or opportunities based on information available to us. A suggestion or introduction is not an endorsement, verification, guarantee, or recommendation. Members are responsible for conducting their own diligence and deciding whether and how to interact. Euuler is not a party to agreements, transactions, communications, or disputes between members and is not responsible for member conduct or member-provided information.
9. Investment and private-market opportunities
Euuler Technologies LLC is not a broker-dealer, investment adviser, placement agent, securities exchange, law firm, or accounting firm. Nothing in the Services is investment, legal, tax, or accounting advice or an offer, recommendation, or solicitation to buy or sell any security.
Investment opportunities may be offered by independent third parties under separate documentation and may be available only to persons who meet legal, jurisdictional, accreditation, sophistication, or other eligibility requirements. Euuler does not guarantee that information supplied by an issuer, sponsor, intermediary, or member is complete, accurate, or current.
Private investments are speculative, illiquid, and involve a substantial risk of loss, including loss of the entire investment. Past performance does not guarantee future results. You must conduct independent diligence and consult your own licensed financial, legal, and tax advisers before acting. Any investment is made pursuant to the definitive documents provided by the applicable third party, which control in the event of a conflict.
10. Third-party services and links
The Services may contain links to or integrations with third-party sites, services, content, or providers. We do not control or endorse them and are not responsible for their availability, security, accuracy, terms, or privacy practices. Your use of third-party services is at your own risk and subject to their terms.
11. Intellectual property
The Services, including their software, interfaces, design, text, graphics, trademarks, logos, and compilations, are owned by Euuler or its licensors and protected by intellectual-property and other laws. “Euuler” and associated marks may not be used without our prior written permission. All rights not expressly granted are reserved.
12. Feedback
If you voluntarily provide ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and incorporate that feedback for any lawful purpose without restriction or compensation. This does not include your personal information or Member Content.
13. Communications
We may send transactional and service communications to the contact information associated with your account. Where permitted, we may send promotional communications; you may unsubscribe using the link in the message. You cannot opt out of essential service, security, or legal notices while maintaining an account.
14. Changes to the Services or Terms
We may modify, suspend, or discontinue any part of the Services. We may update these Terms from time to time. If a change is material, we will provide notice as required by law. The updated Terms become effective on the stated date. Your continued use after that date constitutes acceptance, except where applicable law requires express consent.
15. Suspension and termination
You may stop using the Services at any time and may request account deletion as described in our Privacy Policy. We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, pose a risk to Euuler or others, or if required by law. Upon termination, your license ends immediately. Provisions that by their nature should survive—including ownership, disclaimers, limitations, indemnification, and dispute provisions—will survive.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR THAT THE SERVICES WILL BE ERROR-FREE. WE DO NOT WARRANT ANY PARTICULAR CONNECTION, INTRODUCTION, OPPORTUNITY, TRANSACTION, OR OUTCOME.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUULER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID DIRECTLY TO EUULER FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limitations do not apply where liability cannot lawfully be limited.
18. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Euuler and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable legal fees arising from your Member Content, your use or misuse of the Services, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from Euuler’s own unlawful conduct.
19. Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Except where applicable consumer law permits otherwise, you and Euuler consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20. Miscellaneous
These Terms and the policies incorporated by reference are the entire agreement between you and Euuler concerning the Services. If any provision is held unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Headings are for convenience only. Nothing creates an agency, partnership, joint venture, fiduciary, or employment relationship. We are not liable for delay or failure caused by events beyond our reasonable control.
